The ground rules for using People by Kahloon.

These terms explain what People does, what you and your organisation agree to when you use it, and what we are not responsible for. We have written them to be readable rather than intimidating. Please read before creating a workspace.

Agreement

By creating a workspace on People by Kahloon or using any part of the platform, you agree to these Terms of Service. If you do not agree, please do not use People.

People is operated by Kahloon, LLC, a Delaware limited liability company that serves as the operational and contracting entity. Throughout these Terms, "People", "we", "us", and "our" refer to Kahloon, LLC as the operating entity. "You" refers to the individual creating or using a workspace; "your organisation" refers to the entity named at signup that you are authorised to represent.

The person who creates a workspace (the Master) accepts these Terms, the Privacy Policy, and the Data Processing Addendum on behalf of the organisation named at signup, and warrants their authority to do so.

What People is

People is a workspace for organisations to manage workforce records, payroll, leave, attendance, documents, policies and related people-operations workflows. The product is delivered as software-as-a-service and accessed through a web browser.

People is in private beta. The Service is offered free of charge during the beta period. Features may be added, removed, or changed; support is best-effort; we may discontinue the beta on reasonable notice. We will give at least 30 days' notice before shutting down your workspace and will make a reasonable effort to provide an export of your Customer Data before deletion.

People is a record-keeping and workflow platform, not a payroll bureau, a tax advisor, or an employment lawyer. We do not file your taxes, process your payments, or give legal advice. You make the decisions; People helps you keep track of them.

Who can use People

To create a workspace, you must:

  • Be at least 18 years old.
  • Have the legal capacity, on behalf of the organisation named at signup, to enter into a binding agreement.
  • Provide accurate information during sign-up and keep it current.
  • Not be barred from receiving the Service under applicable laws or sanctions.

One organisation, one workspace per entity. You may not share account credentials with others, and admins are responsible for the actions of users they invite into the workspace.

Your account and responsibilities

Account security

You are responsible for maintaining the confidentiality of sign-in credentials, magic-link emails, and other authentication factors, and for all activity under your workspace. Notify us immediately via our contact form if you suspect unauthorised access.

Data you enter

You are responsible for the accuracy of the information entered into the workspace: employee records, salaries, leave balances, attendance, documents. People reflects back what you put in; incorrect inputs produce incorrect outputs.

Acceptable use

When using People, you agree not to:

  • Use the platform for any unlawful purpose or to violate any law.
  • Attempt to gain unauthorised access to any part of the platform, other organisations' workspaces, or our systems. We use database-level tenant isolation; circumventing it is a material breach.
  • Reverse-engineer, scrape, or extract data from People for competing products.
  • Upload malicious code, viruses, or attempt to disrupt the platform.
  • Upload special categories of personal data (e.g. health, biometric, religious) without our prior written agreement.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Use automated tools (bots, scripts) to interact with the platform without our written permission. Coordinated disclosure of security issues and abuse reports: use our contact form (machine-readable contact at /.well-known/security.txt).

Not legal, tax, or HR advice

Nothing in People is legal, tax, accounting, payroll, or HR advice. The Service helps you record and compute; the responsibility for compliance with employment law, tax law, and statutory thresholds in your jurisdiction sits with you and your professional advisors. Outputs (computed payroll figures, leave balances, statutory thresholds) are aids for decision-making and must be reviewed before being acted upon.

Your data, and ours

"Customer Data" is what you put into your workspace: employee records, attendance, leave, payroll inputs, documents, policies, and similar. As between you and us, you own Customer Data. You grant us a limited, worldwide, royalty-free licence to host, copy, transmit, display and process Customer Data only as needed to provide the Service, to comply with law, and to enforce these Terms.

For the processing of personal data within Customer Data, our Data Processing Addendum applies; your organisation is the Controller and Kahloon, LLC is the Processor.

We do not sell Customer Data, do not share it with advertisers, and do not use it to train AI models without your prior consent. This is non-negotiable.

Service availability

We work hard to keep People available, but we do not guarantee that the platform will be available without interruption or free of bugs. This is especially true during the beta. We do not commit to a specific uptime service level during the beta period.

We will work in good faith to recover from outages quickly, and we keep platform-managed backups so that data loss in the event of an incident is minimised.

Third-party services

People depends on third-party services, including Microsoft Azure (hosting, database, storage, secret management, transactional email), Microsoft Entra ID (for tenants who opt in to Microsoft federated sign-in), GitHub (source-code hosting and CI/CD), and GoDaddy (domain registrar and authoritative DNS). Your use of those services may also be governed by their own terms. We are not responsible for the acts, omissions, or failures of third-party providers, but we choose providers carefully and impose data-protection terms on them where applicable. The current sub-processor list is in our DPA, Annex 1.

Intellectual property

People, including its software, design, branding, trademarks, and documentation, is the property of Kahloon, LLC. You may not copy, modify, distribute, or create derivative works based on it without our written permission.

Content you create and upload (workspace settings, employee records, policies, comments) remains yours. By submitting it to People, you grant us a limited licence to store, display and process it as necessary to operate the platform. We do not claim ownership of your data.

If you give us feedback or suggestions about People, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction.

Termination

The Master may close the workspace at any time from workspace settings. Deletion is permanent and removes the workspace, its data, sessions and audit log from active systems within 30 days, except to the extent retention is required by law. Backups age out within a further 7 days under our cloud platform's point-in-time-recovery window.

We may suspend or terminate access if you materially breach these Terms, if your use creates a security or legal risk, or if required by law. Where reasonable, we will notify you before termination and offer a chance to resolve the issue.

Disclaimers

People is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy of any computed output. Your use of the platform is at your own risk. This is especially true during the beta period.

Limitation of liability

To the maximum extent permitted by law, Kahloon, LLC, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data loss, or goodwill) arising from or in connection with your use of People.

Our total aggregate liability to you for any claim arising from or related to People shall not exceed the amount you have paid to us in the twelve months preceding the claim, or USD 100, whichever is greater. During the beta period, fees are zero; the USD 100 floor applies.

Indemnification

You agree to indemnify and hold Kahloon, LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your Customer Data, your misuse of People, or your violation of any applicable law or third-party right.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute arising from or related to these Terms or your use of People shall be resolved in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction.

Before initiating formal proceedings, you agree to contact us via our contact form and attempt to resolve the dispute in good faith.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify the Master by email or through a prominent notice in People at least 14 days before the changes take effect. Continued use of the platform after the effective date means you accept the updated Terms. If you disagree, you may stop using the platform and close your workspace.

General

  • If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Our failure to enforce any right or provision is not a waiver of that right.
  • These Terms, together with the Privacy Policy and DPA, are the entire agreement between you and Kahloon, LLC regarding People.
  • You may not assign or transfer your workspace or rights under these Terms without our written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
